Terms and Conditions for promotional offer

Promotional Offer:

Cosmo may provide a promotional offer in the form of a credit, loan, or investment to selected Retailers to support their growth and success on the platform. This offer is only valid on the cosmo platform and is not intended for use on other platforms. We reserve the right to terminate this offer at any time or if you are found in violation of any or this regulations of this offer. We do not perform a credit check, however as with all promotional offers, we may require a soft check which is just for verification and promotional purposes or as per our terms and conditions. The specific details of the promotional offer, including the amount, terms, and repayment conditions, will be communicated separately to eligible Retailers in writing. Upon choosing the promotional offer plan you will be subject to the terms and conditions of the promotional offer and the terms and conditions of use of cosmo. 

Terms and Conditions for CosmoMarketplace promotional offer:

Scope: These Terms are intended to supplement and not to replace any existing agreements between you and us regarding services offered. Your use of the website is at user discretion and at your sole risk.

By using the services provided by CosmoMarketplace (“the Platform”), you agree to the following terms and conditions:

  1. Eligibility:  You must be at least 13 years old to Use the Site. If you are under the age of majority in your state of residence (a minor), your parent or legal guardian must agree to these Terms on your behalf, and you may only access and Use the Site with permission from your parent or legal guardian. 

To become a seller on CosmoMarketplace, you must be a registered business entity or an authorized retailer of cosmetics. We reserve the right to verify your business and ownership information, including but not limited to conducting identity checks, 

**Verification of business and owner may include but is not limited to the following: identity verification, seller’s permit, business license/registration, business address and account verification, storefront verification(if applicable), inventory verification, residential address verification, owner/representative verification, bank statement and or tax records, and reviewing relevant business and financial documents

1b. Eligibility and Recurring Membership: To become a seller on CosmoMarketplace, you must meet the eligibility criteria and maintain a recurring membership subscription. CosmoMarketplace reserves the right to modify the membership terms and pricing at any time.

  1. Product Authenticity: As a seller, you are responsible for ensuring that all cosmetics listed on the Platform are original, new condition, and obtained through legitimate channels. Counterfeit or unauthorized products are strictly prohibited. 
  2. Inventory Management: You are responsible for managing your inventory on the Platform. This includes keeping your product listings up to date, accurately reflecting the availability and pricing of your cosmetics. Cosmo will help you set up your store but the ultimate responsibility is yours
  3. 4. Financial Transactions: When a sale is made on the Platform, CosmoMarketplace will deduct a commission fee of thirty-five percent (35%) from the total sale amount. This commission fee will be used to recoup the initial investment provided to you by CosmoMarketplace. Your exact repayment terms seen here vary depending on the amount you qualified for. 
  4. Funds Withdrawal: You may request a withdrawal of your available funds from your Cosmo Seller account once the initial investment provided by CosmoMarketplace has been recouped. Withdrawal requests are subject to review and approval by CosmoMarketplace. Withdrawals are only made through Stripe, PayPal, or bank account. 
  1. Delivery and Shipping: As a seller, you have the option to offer delivery, shipping, or pick-up services to your customers. You are responsible for fulfilling and delivering the orders promptly and ensuring customer satisfaction. 

Cosmo offers delivery and will dispatch the drivers to your location promptly. Cosmo uses the closest available driver to your location to fulfill the delivery on time. 

The customer has the ability to choose which delivery service to use from the cosmo checkout page and that delivery service driver will be the driver that shows up for pick up. I.e Uber, lyft, doordash or cosmo driver. If orders aren’t promptly fulfilled by the merchant, the consequences could include a fine and or lead to your account being disabled. Cosmo does not pay any additional delivery fees to the driver, nor compensate our contractors as employees. For more on retailer responsibility, refer to cosmo’s Terms and conditions of use document.   1. Compliance with Laws: You agree to comply with all applicable laws, regulations, and industry standards related to the sale and distribution of cosmetics. This includes complying with any labeling requirements, product safety standards, and relevant intellectual property laws.
  2. Intellectual Property: You must have the necessary rights and permissions to use any trademarks, logos, or copyrighted material associated with the cosmetics you sell on the Platform. CosmoMarketplace respects intellectual property rights and may take appropriate action against any infringement.
  3. Platform Security: You are responsible for maintaining the security of your Cosmo Seller account login credentials. Any unauthorized access or use of your account must be reported to CosmoMarketplace immediately.
  4. Termination: CosmoMarketplace reserves the right to suspend or terminate your account if you violate these terms and conditions or engage in any fraudulent or unethical practices.
  5. 11. Modifications: CosmoMarketplace reserves the right to modify these terms and conditions at any time. Any updates or changes will be communicated to you through the Platform or via email. 

These conditions below are in addition and by using the services provided by CosmoMarketplace (“the Platform”), you agree to maintain: 

  1. Financial Agreement: Upon joining CosmoMarketplace, you agree that the initial investment provided by CosmoMarketplace is a credit/loan. The borrowed amount must be paid back to CosmoMarketplace in the form of interests, commissions, and percentages charged per sale. Alternatively, you may choose to sell products to CosmoMarketplace at wholesale cost, with CosmoMarketplace selling at the Manufacturer’s Suggested Retail Price (MSRP) to recoup the investment, up to the specified amount (35%-45% plus the initial investment depending on initial amount).
  2. Repayment Obligations: You are obligated to fulfill the repayment terms as agreed upon with CosmoMarketplace. Attempting to back out of this contract before the full investment plus interest is repaid, will result in legal actions, including being held liable for the debt by CosmoMarketplace, its affiliates, and relevant third parties with an interest in the debt, reporting to credit bureaus, sale of inventory and or other legal means at our disposal necessary to recoup any lost investments.
  3. Termination and Refusal of Service: CosmoMarketplace reserves the right to terminate this contract or refuse to provide borrowing services to anyone for any reason. CosmoMarketplace also reserves the right to update these terms and conditions regularly as deemed necessary or in accordance with changes in business practices and legal requirements.
  4. Legal Compliance: You agree to comply with all applicable laws, regulations, and industry standards while using the Platform. This includes adhering to all rules and regulations set forth by CosmoMarketplace.
  5. Indemnification: You agree to indemnify and hold CosmoMarketplace harmless from any legal claims, liabilities, or damages arising from your use of the Platform or any breach of these terms and conditions.

Relationship with Cosmo’s Terms and Conditions

  1. Contract Binding: These terms and conditions constitute a legally binding contract between you and CosmoMarketplace. They supersede any prior agreements or understandings, whether oral or written, relating to the subject matter herein. And are in conjunction with the terms and conditions of Cosmo Marketplace. 
  • Relationship with Cosmo’s Terms and Conditions

8.1 Agreement Supplementation: This Terms and Conditions Agreement is meant to supplement and work in conjunction with Cosmo’s existing Terms and Conditions, which remain in full force and effect. In the event of any inconsistencies or conflicts between this Agreement and Cosmo’s Terms and Conditions, the terms of this Agreement shall prevail only to the extent of the specific matters addressed herein. refer to our terms and conditions below.

  1. Promotional Offer and Repayment

7.1 Promotional Offer: Cosmo may provide a promotional offer in the form of a credit, loan, or investment to selected Retailers to support their growth and success on the platform. The specific details of the promotional offer, including the amount, terms, and repayment conditions, will be communicated separately to eligible Retailers in writing.

7.2 Repayment Terms: Retailers acknowledge that the promotional offer provided by Cosmo is subject to repayment. The repayment terms, including the duration, interest rates (if applicable), and any other relevant conditions, will be specified in the separate agreement outlining the promotional offer.

7.3 Repayment Method: Retailers agree that the repayment of the promotional offer will be facilitated through a deduction from the Retailer’s earnings on the CosmoMarketplace platform. Cosmo reserves the right to deduct the agreed-upon repayment amounts, including any interest or fees, from Retailers’ proceeds until the promotional amount, plus a minimum of 30% profit margin, is fully recouped.

7.4 Continuous Selling Obligation: By accepting the promotional offer, Retailers commit to providing their products for sale and continuing to sell through the CosmoMarketplace platform until the repayment amount is fully recouped. If a Retailer chooses to leave the platform before the full repayment, the remaining amount will be due upfront and immediately.

Please note that the specific details of the promotional offer will be provided separately in a formal agreement between Cosmo and eligible Retailers. The terms outlined in that agreement, including the repayment schedule, interest rates (if applicable), and any additional conditions, will supersede the general provisions mentioned in this Terms and Conditions Agreement.
